Folders on shares are stripped of security discriptors

environment:
windows 2003 r2 server - standard
main services: file server (+300,000 files), exchange 2003, bes server, sqlserver (for bes)
   
issue:
i battling issue files , folders being stripped of security descriptors and when properties of folder selected "general" , "customize" tabs available.  observing files associated folders disappear.

example:
a user accessed file in "foldera", saved document (did not observe) , exitted.  short time afterwards attempt made access same file find file no longer there (confirmed once existed reviewing backup) , subfolder in "foldera" no longer accessible due above issue.


previous troubleshooting steps:
1. replace ownership , security permissions on child objects (while logged in admin) yeilds access denied.
2. accessing file through console, terminal services , share yeild same result... access denied
3. disable inherited permissions , enabling them
4. scandisk @ boot (takes 12 hours due number if files , size of drive)

temporary fix:
rebooting server appears address problem, however, because server file/mail server it's extremely hazardous take server down during day :)  


i eager address issue once , all, , appreciate assistance can offer.

as suspect, issue may related backup solution sonicwall's cdp 2440i on problematic server. if possible,  please uninstall backup software , replace 1 see whether issue goes away. meanwhile, isolate influence of additional applications , services, still suggest perform following steps boot system clean boot environment test.
 
step: perform clean boot
 
1. click "start", go "run", , type "msconfig" in open box start system configuration utility.
2. click "services" tab, check "hide microsoft services" box , click disable (if not gray).
3. click "startup" tab, click "disable all" , click "ok".
4. restart computer. when "system configuration utility" window appears, please check box , click "ok".

Can no longer user MS Update - Files required to use Microsoft Update are no longer registered

hi, i'm new server 2003.  installed it.  removed enhanced ie security.  proceed download , install windows server 2003 sp1, of dot net (1.1, 2.0, 3.0, 3.5, , updates), , sp2. after downloaded , installed of above, tried windows update menu option in ie.  (ie 8 windows server 2003) , sits there "done" in lower left hand corner.  never brings in window. so try www.microsoft.com -> download , trails -> update.  received error message "files required use microsoft update no longer registered or installed on computer".  click on register or reinstall files me now.  window changes , "check latest version of windows updating software .... ".   sits there (last time sat there on hour). i went on internet , found instructions: regsvr32 wuapi.dll regsvr32 wups.dll regsvr32 wuaueng.dll regsvr32 wucltui.dll regsvr32 atl.dll regsvr32 msxml3.dll did not work either.  have other suggestions?...

CDPUserSvc_xxxxx has stopped working
